1. Who these terms are between
These terms are between Echelon One Pty Ltd (ABN 78 618 159 354) ("we", "us"), which operates Zugaz, and the organisation that sets up a Zugaz workspace ("your organisation") and each person who uses Zugaz ("you"). In return for access to Zugaz, you agree to these terms and give us the permissions in section 5. You accept them when you sign in, where the sign-in page links to them. If you sign in on behalf of an organisation, you confirm you are allowed to accept them for it.
2. The service
Zugaz is a project-management app: boards, tasks, views, reminders, meeting summaries and AI suggestions about what matters most. We will provide it with due care and skill and keep improving it. If we change the service in a way that removes something your organisation relies on, we will tell it in advance, and it can leave and take an export of its content.
3. Fees
Zugaz is currently provided without charge. We will not charge your organisation anything unless we have first agreed the fee with it in writing.
4. Your account
- Use your own account and keep your sign-in secure. Tell us promptly if you think someone else has used it.
- Your organisation's administrators decide who joins its workspaces and what they can see.
- Zugaz is for business use by people aged 18 or over.
5. Your content
- Tasks, notes, comments, goals and everything else your organisation or you put into Zugaz ("your content") remain yours. We claim no ownership of it.
- You give us permission to store, process and display your content only as needed to run Zugaz for you, including sending it to the service providers described in our privacy policy. We do not use your content to train AI models.
- Only add content you are entitled to share, and do not use Zugaz to store information that the law forbids you to share with your colleagues.
- If your organisation uses a meeting notetaker with Zugaz, it is responsible for telling everyone in the meeting and getting any consent the law requires before recording.
6. AI suggestions
Zugaz uses AI to suggest how important and urgent tasks are, to pick "three things today", to summarise meetings, to create the to-dos agreed in a meeting, to answer your questions in Ask Zugaz and to draft a first version of a task. Scores, summaries, answers and drafts are suggestions; they can be wrong, so check them before you act on them, and a score never changes a task. Meeting to-dos are created automatically with the owner and date named in the meeting, and the owner can edit or delete them. For organisations Echelon One supports directly, and only with their agreement, Zugaz can also close a task when it sees evidence the work is done; anyone who can edit the task can reopen it. Decisions about your work stay with you.
7. Google Calendar
Connecting Google Calendar is optional. If you connect it, Zugaz reads your events as described in the privacy policy, under Google's Limited Use requirements. You can disconnect it at any time in Settings or in your Google Account.
8. Acceptable use
Do not use Zugaz to break the law, to harass anyone, to upload malicious code, to try to access data you are not permitted to see, or to overload or interfere with the service. We may suspend access that puts the service, other users or their data at risk. Where it is safe to, we will tell you first and explain why, and we will restore access once the risk is dealt with.
9. Changes to these terms
If we change these terms, we will tell you by email or in the app at least 30 days before the change takes effect (or as soon as practicable for changes that only fix errors or reflect new law). If you do not agree with the change, you can stop using Zugaz and close your account before it takes effect, and we will help you export your content.
10. Ending these terms
- Your organisation or you can stop using Zugaz and ask us to close your account at any time.
- We can end these terms by giving your organisation at least 60 days' notice, or straight away if the law requires it or there is a serious or repeated breach of section 8 that is not fixed after notice.
- When an account closes, you can ask us for an export of your content within 60 days. We then delete it as set out in the privacy policy.
11. Your rights under the Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law, including the consumer guarantees, that the law does not allow to be excluded.
12. Limits on liability
- If Zugaz fails to meet a consumer guarantee and the service is not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited, to the extent the law allows, to supplying the service again or paying the cost of having it supplied again.
- To the extent the law allows, neither your organisation nor we are liable to the other for indirect or consequential loss, or for loss of profit, revenue or data that could not reasonably have been foreseen.
- Apart from liability under the consumer guarantees (dealt with in the first point of this section), each party's total liability to the other under or in connection with these terms is limited to AUD $1,000 while Zugaz is provided without charge.
- Nothing in this section limits liability for fraud, wilful misconduct, personal injury, or anything the law does not allow to be limited.
13. Privacy
Our privacy policy explains how we handle personal information. It is not part of these terms.
14. General
- These terms are governed by the law of South Australia, and the courts of South Australia and the Commonwealth have jurisdiction.
- If part of these terms is unenforceable, the rest still applies.
- We may transfer these terms as part of a sale or restructure of the business that operates Zugaz. We will give your organisation at least 30 days' notice first. If it does not want to move, it can close its account and we will export and then delete its content, and Google user data will not move without each user's explicit consent. Otherwise, neither party may transfer these terms without the other's consent.
